Terms of Service

Please read and understand the Terms of Service before using Friend Trade platform.

Effective Date: October 1, 2025

By accessing the Friend Trade platform, users are deemed to have read, understood, and agreed to be bound by these terms and conditions in all respects. If you do not accept these terms, please stop using the service immediately.

1.Acceptance of Terms

By accessing the Friend Trade platform, users are deemed to have read, understood, and agreed to be bound by these terms and conditions in all respects. If you do not accept these terms, please stop using the service immediately.

2.Service Scope

Friend Trade is a peer-to-peer trading platform with an Escrow system for holding funds during transactions:

  • The platform is not a buyer or seller of goods/services, not an agent, and not a primary contracting party
  • Goods/services traded are the direct responsibility of buyers and sellers
3.Account Creation and Identity Verification

Creating and managing user accounts has the following requirements:

  • Users must register with accurate and complete information
  • Sellers who want Verified Seller status must pass identity verification (KYC) procedures
  • Friend Trade reserves the right to suspend accounts if false information or illegal behavior is found
4.Transactions

When Buyer pays through the platform, money is held in Escrow until:

  • Buyer confirms receipt of goods → Money is released to Seller
  • Card expires → Money is refunded to Buyer or enters Dispute process
  • There is a dispute → Money is frozen until resolution
  • Users agree that all transactions must go through the platform system only
5.Fees

Platform fee structure:

  • Sellers: Platform deducts X% fee + VAT (if applicable) from sales amount
  • Buyers: Platform charges Y% service fee per transaction
  • Fees are clearly displayed before confirming transactions
6.Seller Responsibilities

Duties and responsibilities of sellers:

  • Deliver goods/services according to specifications and within specified timeframes
  • Prepare delivery evidence (tracking, videos, photos, etc.) to prevent disputes
  • Do not sell illegal goods, copyright infringement, prohibited items, or violate third-party rights
  • If fraud or counterfeit goods are found, the platform has the right to suspend accounts and take legal action
7.Buyer Responsibilities

Duties and responsibilities of buyers:

  • Pay through the system according to procedures, do not conduct transactions outside the system
  • Check goods/services immediately upon receipt and confirm or open disputes within the specified time
  • Do not send fake/other items back to take advantage of sellers; if fraudulent intent is found, accounts will be permanently banned
8.Dispute Resolution

Process for handling disputes between users:

  • When disputes arise, money is frozen in Escrow
  • Buyers and sellers must submit evidence as requested by the platform
  • Platform decisions are final, unless parties pursue legal action
  • The platform may use third parties for verification (e.g., expert product inspection)
9.Withdrawals

Rules for withdrawing money from the system:

  • Sellers can withdraw money from Wallet when reaching the specified minimum
  • Friend Trade has the right to verify transactions before approving withdrawals
  • If irregular transactions are found, withdrawals may be suspended until verification is complete
10.Account Suspension or Cancellation

Terms for suspending or cancelling user accounts:

  • The platform has the right to suspend or cancel accounts if users violate the agreement
  • Have fraudulent, deceptive, or illegal behavior
  • Remaining balances will be handled according to conditions (refund to buyers/transfer back to sellers according to trade status)
11.Liability Limitation

Scope of platform liability:

  • The platform is merely an intermediary and does not guarantee quality, accuracy, authenticity, or suitability of goods/services
  • Friend Trade is not responsible for: direct/indirect damages caused by users
  • Data loss due to force majeure events
  • Fraud arising from transactions outside the system
  • The platform's maximum liability shall not exceed the fees paid by users to the platform in the related transaction
12.Agreement Amendments

Friend Trade may modify/update this agreement without prior notice. Continued use is deemed acceptance of the new agreement.

13.Personal Data and Privacy

Management of users' personal data:

  • Collection, use, and disclosure of personal data complies with the platform's Privacy Policy
  • Users consent to the platform processing data according to PDPA and related laws
14.Platform-Only Transactions Prohibited

All users agree to conduct transactions, purchases, sales, payments, and delivery of goods/services through the Friend Trade system only:

  • Direct money transfers or trading between buyers and sellers outside our system is strictly prohibited
  • All transactions must go through the platform's Escrow system only
  • Violation of this provision constitutes a breach of contract
15.Risks of Off-Platform Transactions

If users agree to conduct transactions directly with others outside the platform for any reason:

  • Users accept that Friend Trade will not be responsible for any damages
  • Loss of property, fraud, or any disputes that may arise
  • Users must bear full responsibility for all damages themselves
  • Friend Trade has no mechanism to assist with transactions occurring outside the system
16.Fraud Prevention

Only transactions conducted through the Friend Trade system are protected:

  • Money holding through Escrow payment system
  • Transaction status verification
  • Dispute system and mediation
  • If transactions are conducted outside the system, these mechanisms will not apply
  • Users will lose all protection from the platform
17.Account Suspension for Off-Platform Transactions

If Friend Trade detects or has reasonable grounds to believe that users are soliciting or attempting to conduct transactions outside the platform, the company reserves the right to temporarily or permanently suspend account usage, including refusing participation in new transactions on the system.

18.Complaint/Support Limitations

Friend Trade can only provide support, investigation, or consideration of complaints for transactions conducted through the system:

  • If users are deceived into transferring money to other people's accounts outside the system
  • The company cannot investigate or take any action
  • Users must file complaints directly through bank or police channels
  • Friend Trade has no obligation to assist in such cases
19.Governing Law

This agreement is governed by Thai law:

  • This agreement is governed by the laws of Thailand
  • If disputes cannot be resolved by agreement, they shall be under the jurisdiction of Thai courts
